1. Definitions

  • "SIE Agency" refers to our company, including its employees, contractors, and affiliates.
  • "Client" refers to any individual or business engaging with our services.
  • "Services" refers to website development, digital marketing, AI-powered automation, and other solutions offered by SIE Agency.

2. Use of Services

  • Our services are provided on an "as-is" basis. We strive for quality but do not guarantee specific results.
  • Clients must provide accurate and complete information to ensure the best results.
  • Unauthorized use of our services, including reselling or distributing without permission, is prohibited.

3. Payments and Refunds

  • Payment terms will be agreed upon before the start of any project.
  • All payments are non-refundable once a project has commenced. If a client cancels after work has started, SIE Agency retains the right to collect full or partial payment for services rendered, even if the project is incomplete.
  • Invoices must be paid on time. Final deliverables, access credentials, and ownership rights will only be released once the final balance has been paid in full.

4. Maintenance Plans and Hourly Overages

  • Our maintenance subscriptions include a fixed number of service hours per billing cycle (e.g. troubleshooting, edits, updates, support, etc.).
  • If a client exceeds their allotted hours, any additional time will be billed at our standard hourly rate of $167/hour.
  • Clients will be notified when they are approaching their usage limit. Continued use of support services beyond the limit constitutes agreement to be billed for the excess time.

5. Ownership and Release of Deliverables Upon Payment

  • SIE Agency will retain control and access to all project files, websites, logins, and creative assets until all outstanding invoices are paid in full.
  • Once payment is completed, deliverables and access credentials will be released to the client.
  • Failure to pay may result in suspension of access and permanent loss of data or services.

6. Intellectual Property and Portfolio Rights

  • All custom-built websites, designs, and marketing materials remain the property of SIE Agency unless otherwise stated.
  • Clients retain ownership of their website and content upon completion and final payment only if they are a one-time website purchase client. Otherwise, SIE Agency retains full ownership and authority over all work created for clients.
  • SIE Agency reserves the right to showcase completed projects in its portfolio unless otherwise agreed upon.
  • SIE Agency reserves the right to protect proprietary systems, workflows, and tools used in client work. These may not be copied or reused without explicit permission.

7. Client Responsibilities

  • Clients must provide all necessary content, branding materials, and relevant information for project completion.
  • Clients agree to review and approve deliverables in a timely manner.
  • Clients are responsible for maintaining their website after project completion unless a maintenance plan is purchased.

8. Limitation of Liability

  • SIE Agency is not liable for any losses resulting from the use or inability to use our services.
  • We are not responsible for third-party software or tools used as part of our services (e.g., hosting providers, ad platforms, etc.).
  • Any damages shall be limited to the amount paid by the client for the specific service.

9. Termination of Services

  • We reserve the right to refuse or terminate services if a client violates these terms.
  • Clients may cancel ongoing services with 30 days' written notice. No refunds will be issued for payments already made.

10. Privacy Policy

  • Client information is confidential and will not be shared with third parties without consent, except where required by law.
  • Our full Privacy Policy outlines how we handle and store data.

11. Changes to Terms

  • We reserve the right to update these Terms and Conditions at any time.
  • Clients will be notified of major changes via email or website notice when appropriate.
  • We encourage clients to periodically review these Terms for any updates or modifications.
  • Continued use of our services after updates implies acceptance of the revised terms.
